The role will serve as the legal advisor to Prudential Hong Kong's private asset investment activities, providing strategic legal and regulatory support across the investment lifecycle. The role will partner closely with Investments, Finance, Risk, Compliance, Tax and Group stakeholders to facilitate the origination, execution and ongoing management of private asset investments while ensuring appropriate governance standards and legal risk management.
The role will support investment activities across private credit, private equity, infrastructure, real estate and other alternative asset classes that form part of Prudential's long-term investment strategy. This aligns with Prudential's governance framework for private asset investments, which requires robust legal due diligence, investment structuring and risk oversight.
Job Responsibilities
Lead Legal Support for Private Asset Investments
Provide legal advice on private asset investment opportunities across multiple asset classes.
Structure, negotiate and execute investment transactions in a commercially effective manner.
Review and negotiate: Fund documentation
Limited Partnership Agreements
Subscription Agreements
Shareholder Agreements
Investment Management Agreements
Financing and security documents
Co-investment arrangements
Side letters and ancillary documentation
Coordinate and manage external legal counsel on complex and cross-border transactions.
Legal Due Diligence and Transaction Management
Lead legal due diligence efforts on prospective investments.
Assess legal risks associated with investment opportunities and formulate practical risk mitigation solutions.
Advise on: Legal structures
Ownership arrangements
Enforceability of rights and security packages
Regulatory constraints
Insolvency considerations
Cross-border legal matters
Tax-sensitive investment structures
Support transaction execution through close collaboration with investment, finance and risk teams.
Governance and Regulatory Advisory
Advise on legal and regulatory requirements affecting private asset investments.
Ensure investment documentation and structures comply with applicable laws, regulations and internal governance requirements.
Support submissions to relevant governance forums, committees and approval bodies.
Provide legal advice on evolving regulatory developments impacting investment activities.
Portfolio and Asset Management Support
Provide legal support for ongoing portfolio management activities.
Advise on: Amendments and restructurings
Waivers and consents
Enforcement actions
Distressed asset situations
Disposals and exits
Support legal risk monitoring throughout the investment lifecycle.
Strategic Business Partnering
Act as a trusted legal advisor and partnering closely with Investments, Finance, Risk, Compliance, Group and also other business stakeholders.
Deliver pragmatic legal solutions that balance commercial objectives with risk management considerations.
Support strategic initiatives involving new asset classes, investment structures and market opportunities.
Legal Excellence and Continuous Improvement
Develop legal templates, precedents and best practices for private asset transactions.
Enhance efficiency and consistency of legal support provided to the investment function.
Monitor market developments and emerging legal trends relating to private assets and alternative investments.
Contribute thought leadership and legal expertise to senior stakeholders.
Job Requirements
LLB degree holder and qualified Hong Kong solicitor, with at least 15 years’ relevant experience (including in-house experience of at least 5 years) in financial sector with recent experience in the insurance industry, from reputable financial institutions / law firms.
Good working knowledge of Hong Kong insurance laws/ regulations and regulatory framework.
Experience in managing stakeholders.
Some experience in PRC related legal matters and dealing with PRC law firms / parties.
Strong experience gained within: Top-tier law firms; Asset management organisations; Insurance companies; or Financial institutions.
Extensive experience in: Private credit transactions / Private equity investments / Infrastructure investments / Real estate investments / Fund investments / Alternative investment structures / Cross-border transactions
Experience advising institutional investors is highly desirable.
